Edtech major PhysicsWallah (PW) has made its first major move into the yoga and wellness sector by increasing its stake in Kay Lifestyle and Wellness Private Limited, popularly known as Kamya Yoga & Wellness.

According to regulatory filings with stock exchanges, PW’s board approved the second tranche of investment in the wellness company on February 5, 2026. The investment involves the subscription of 300 Series Seed Compulsorily Convertible Preference Shares (CCPS), valued at Rs 1.5 crore.

With this tranche, PhysicsWallah’s shareholding in Kamya Yoga & Wellness rises to 41.18% on a fully diluted basis, bringing the edtech giant closer to potentially taking a controlling stake.


Multi-Tranche Investment Strategy

Initial Investment and Agreements

PhysicsWallah first entered into a shareholders’ agreement (SHA) and share subscription agreement (SSA) with Kay Lifestyle and its shareholders on April 15, 2025. Under these agreements, PW committed to invest in multiple tranches over time.

The first tranche, completed earlier, saw PW acquire 1 equity share and 399 Series Seed CCPS. This initial move laid the foundation for a stronger partnership between the edtech major and the wellness startup.

Path to Potential Majority Stake

Under the terms of the agreements, PhysicsWallah can subscribe to up to 999 CCPS in total. If all conditions are met and remaining tranches are executed, PW’s stake in Kamya Yoga & Wellness could increase to 50% on a fully diluted basis.

This step-by-step approach allows PhysicsWallah to gradually expand its presence in the wellness industry while managing financial risk and evaluating business synergies.
